Terms of Service

1. Definitions

• "Signal Line" refers to the intelligence service operated by Buvo Ltd (trading as MyBuvo / Signal Line)
• "Partnership" refers to the commercial engagement between Buvo Ltd and the partner
• "Intelligence Materials" refers to briefings, reports, and analysis delivered under the service
• "Briefing" refers to the initial consultation between Signal Line and a prospective partner

2. Service description

Signal Line provides sector-specific intelligence briefings to UK businesses that sell to other businesses. The service includes prospect research across seven intelligence lenses, delivered as structured briefings.

Signal Line is an intelligence service, not a software product. Deliverables are tailored to each partner's sector and requirements.

3. Engagement terms

• All partnerships begin with a private briefing to assess mutual fit
• Minimum engagement period: 1 month from commencement date for Retained; 3 months from commencement date for Embedded
• First delivery: within 7 days of commencement for a subscription tier, or within 48 hours of a completed intake for the Assessment
• One company plus one named buyer counts as one pack; a second stakeholder at the same company is a second credit
• Service tier and scope are confirmed in a separate engagement letter

4. Intellectual property

• Intelligence Materials are licensed to the partner for internal business use only
• Partners may not redistribute, resell, or publicly share Intelligence Materials without written consent
• Signal Line retains all rights to its methodology, processes, and analytical frameworks
• Data the partner provides to Signal Line remains the property of the partner

5. Confidentiality

Both parties agree to treat confidential information with reasonable care. Confidential information includes Intelligence Materials, partner data, commercial terms, and proprietary methodology.

Neither party shall disclose confidential information to third parties without prior written consent, except where required by law or regulation.

Confidential information does not include information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed by it.

6. Payment

• Fees are invoiced monthly in advance
• Payment is due within 14 days of invoice date
• All prices are in GBP. We are not currently VAT-registered. If Buvo Ltd becomes VAT-registered, VAT will be added to fees at the applicable rate
• We may charge interest and fixed-sum compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998
• If an invoice is unpaid 7 days after its due date, we may suspend the service on written notice until it is paid. Suspension does not pause or reduce fees due

6.1 Signal Line Assessment

The Assessment is a one-time business to business purchase of a digital product made to order. By purchasing you confirm you are buying for the purposes of a trade, business or profession, so consumer cancellation rights under the Consumer Contracts Regulations 2013 do not apply.

We deliver within 48 hours of a completed intake. If we miss that window, the Assessment is supplied at no charge. If the Seller scripts do not reflect your own writing, tell us within 7 days of delivery and send one email you have written; we will rebuild all five scripts once, within three working days. The rebuild is included in the fee.

If a partnership begins within 30 days of the Assessment being delivered, the Assessment fee is credited against the first month's fee. After 30 days the credit no longer applies.

The Assessment is otherwise non-refundable once production has begun.

7. Limitation of liability

Intelligence Materials are provided for informational purposes to support business decisions. Signal Line does not guarantee specific commercial outcomes from the use of its service.

Intelligence Materials are prepared with reasonable care and skill from public sources, information you give us and automated analysis, including AI language models. Public records can be out of date or incomplete, and inferences are judgements, not facts. We do not warrant that Intelligence Materials are complete, accurate or current, and you remain responsible for your own commercial decisions. All other warranties and conditions implied by law are excluded to the fullest extent permitted.

The total liability of Buvo Ltd under or in connection with the partnership shall not exceed the fees paid by the partner in the 12 months preceding the claim.

Buvo Ltd shall not be liable to the partner, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, anticipated savings or goodwill, any loss or corruption of data, or any indirect or consequential loss or damage, arising under or in connection with the partnership.

Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

8. Termination

• After the minimum term for the tier, either party may terminate with 30 days' written notice
• Either party may terminate immediately if the other commits a material breach that is not remedied within 14 days of written notice
• Either party may terminate immediately if the other becomes insolvent, enters administration or liquidation, or ceases to trade
• On termination, Signal Line will deliver any outstanding Intelligence Materials for the paid period
• Fees already paid are not refundable, except as set out for the Assessment in clause 6.1
• Clauses 4, 5, 6, 7, 10 and 11 survive termination

9. General

• These terms, together with any engagement letter or order form, are the entire agreement between us about the partnership. Each party confirms it has not relied on any statement, promise or representation not set out in these terms. Nothing in this clause limits liability for fraudulent misrepresentation
• If these terms and an engagement letter conflict, the engagement letter applies for that engagement
• These terms are governed by the laws of England and Wales
• Disputes shall be resolved first through good-faith negotiation, and if unresolved, the courts of England and Wales have exclusive jurisdiction
• Buvo Ltd may update these terms with 30 days' notice to active partners. Changes do not apply to an Assessment already paid for
• Neither party is liable for delay or failure caused by events beyond its reasonable control, including failure of public registers, internet or hosting providers. If such an event lasts more than 30 days, either party may end the partnership on written notice
• Notices under these terms must be sent by email: to us at hello@mybuvo.co.uk, and to you at the address in your engagement letter or the one used to purchase. A notice is received on the next working day after sending
• We may use subcontractors and service providers to deliver the service and remain responsible for their work. Neither party may transfer the partnership without the other's written consent, except that we may transfer it to a successor of our business
• No one other than the parties has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999
• If any provision is found unenforceable, the remaining provisions continue in full force

10. Your obligations

• You will use Intelligence Materials only for your own business-to-business sales activity and in line with UK GDPR, the Privacy and Electronic Communications Regulations and any rules of your own regulator
• You will not use Intelligence Materials to make decisions about an individual's employment, credit, insurance, eligibility or access to services, and you will not forward them to the person or company they describe
• If we tell you a person has objected or asked to be removed, you will stop using the related material for outreach
• You will reimburse Buvo Ltd for any loss, fine, claim or reasonable cost it suffers as a result of your use of Intelligence Materials in breach of these terms or of data protection or marketing law

11. Data protection

Each party will comply with UK data protection law. We process personal data about the people described in Intelligence Materials as an independent controller, as explained in our Outreach Privacy Notice. Where we process personal data on your instructions, the data processing terms in your engagement letter apply.
